118/2011 Changes in Supervisory Board made by EGM - Orange Polska

Pursuant to article 5(1.22) of the Decree of the Minister of Finance of 19 February 2009 on current and periodic information disclosed by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state (Journal of Laws of 2009, No. 33, item 259, as amended), the Management Board of Telekomunikacja Polska S.A. (“TP S.A.” or “the Company”) hereby informs about appointment of a persons supervising TP S.A.’s activity.

On 13 October 2011, the Extraordinary General Meeting appointed the following persons to the Supervisory Board of TP S.A.:

Mr. Pierre Louette (appointment pursuant to Article 19(7) of the Company’s Articles of Association was done on 24 March 2011);
Ms. Nathalie Clere (appointment pursuant to Article 19(7) of the Company’s Articles of Association was done on 12 July 2011);
Mr. Benoit Scheen.

Pierre Louette
Pierre Louette, born in 1962, a law graduate from IEP and ENA, has been Commissioner of Audit to the Court of Accounts, and Chairman and CEO of Agence France Presse since 2005. Prior to that he was Technical Advisor for communications, youth and sports to the Office of the Prime Minister from 1993 to 1995, and during this period was one of the initiators and drivers of the "Information Highway". As Secretary General and Director of Communications at France Televisions in 1995-1996, he helped create TPS, before focusing on developing new media in France, in particular at Havas Advertising and the investment fund Europatweb. At the moment he holds the position of Executive Vice President, Group General Secretary and France Carriers Division.

The activities of Mr. Pierre Louette outside of TP S.A. do not conflict with his function at TP S.A.

Nathalie Clere
Nathalie Clere, born in 1960, is currently Vice President for Poland Operations. As a bridge between   France Telecom Group and TP, she is covering a broad range of responsibilities, from commercial performance to governance and regulatory issues.

Just before she was Vice President for Belgium, Switzerland and Dominicana, Nathalie Clere has been with the Group since 1994 in a series of significant leadership roles across FT international business, including Chief Operating Office for Cellis in Lebanon, Customer Care Director with Optimus in Portugal and Managing Director for FT South East France operations in the incumbent market (residential and B2B). She previously worked for the broadcasting Company "Telediffusion de France"   in Paris as well as for Thomson consumer goods in Singapore where she held operations role.

She holds a BA in economics & foreign language from Grenoble University and a MBA from the Euromed business school in 1984. Nathalie Clere has been nominated as Advisor for French International Trade by a French Minister decree since 2008 and she received the medal from Knight of the National Order of the Merit in Beirut in May 2002

The activities of Ms. Nathalie Clere outside of TP S.A. do not conflict with her function at TP S.A.  

Benoit Scheen
Benoit Scheen, born in 1966, a Belgian national, is responsible for Europe as Executive Vice-President of the France Telecom Group. He is also a member of the boards of directors of Everything Everywhere, Orange Communications and Mobistar.

He joined the Group in September 2011 and is responsible for the Group's operations in Armenia, Austria, Belgium, Dominican Republic, Luxembourg, Moldova, Poland, Romania, Slovakia, Spain and Switzerland. Prior to that he was Chief Executive Officer of Mobistar in Belgium from 2008 to 2011, and he also held a number of executive management positions with IBM, Compaq, HP and Siemens-Nixdorf.

He attended the University of Namur and holds a Master's degree in Computer Science as well as a Bachelor's degree in Economics and Social Science.

The activities of Mr. Benoit Scheen outside of TP S.A. do not conflict with his function at TP S.A.
