104/2013 TP S.A.’s shareholders and its Supervisory Board formally approved previously announced changes in its management and supervisory bodies - Orange Polska

Pursuant to art. 5, clause 1, item 22 of the Decree of the Minister of Finance of 19 February 2009 on current and periodic information disclosed by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state (Journal of Laws of 2009 No. 33, item 259, with amendments) the Management Board of Telekomunikacja Polska S.A. (“TP S.A.”, “Company”) informs about appointment of persons supervising and managing TP S.A.

September 19,2013: The Extraordinary General Meeting of TP S.A shareholders appointed Mr.Jean-Marie Culpin and Mr.Maciej Witucki as members of TP S.A.’s Supervisory Board. On the same day, TP S.A.’s  Supervisory Board elected Mr. Maciej Witucki as the Chairman of TP S.A.’s Supervisory Board and appointed Mr. Bruno Duthoit as President of TP S.A.’s Management Board and Chief Executive Officer.

Mr. Jean-Marie Culpin (born in 1965) is a graduate of École Polytechnique. He is the Group Marketing Director for Orange S.A. He joined Orange S.A. (former France Télécom S.A.) in 1990 to work for the Large Accounts Management team. He then worked in a number of positions in France and overseas, mostly within the mobile market. From 1995 to 1998, he was Technical Director for FT Mobiles International where, in particular, he won a large number of overseas licences. From 1998 to 2002, he was the France Telecom Long Distance Satellite Strategy Manager, before taking over management of the Enterprise activity within Orange France where he launched, among other products, Business Everywhere, and the first 3G-based offers on the business market. He then was Mobile Marketing Director for activities in France – a position he took up in 2008.

According to a statement submitted, Mr. Jean-Marie Culpin is not engaged in any activities competitive to the business of TP S.A. and is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of any incorporated company or any other legal entity which would be competitive to TP S.A. Mr. Jean-Marie Culpin is not listed in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act.

Mr. Bruno Duthoit, (born in 1953), is a graduate of the French École Polytechnique and École Nationale Supérieure des Télécommunications.

He started his professional career as an engineer working for France Télécom S.A. (today Orange S.A.) and he soon progressed to become deputy regional director for network development investment in the Region of Basse Normandie (until 1983). After six years of work in senior positions in public administration (at DATAR - Délégation à l’aménagement du territoire et à l’action régionale), first at regional and then national level, he returned to Orange S.A. in 1991 to head the Group’s office for Czech Republic and Slovakia.

From 1996 to 2013 he held positions of chief executive officer or management board member in several international subsidiaries of the Group. Notably, he was the CEO of Orange Slovensko in Slovakia (1996-1999), Orange Moldova (2006-2008), Orange Armenia (2008-2012), and Ethiopia’s ethiotelecom (2012-2013). He was a management board member of Telekomunikacja Polska S.A. between 2001 and 2006 with a vast scope of responsibilities, ranging from transformation to sales, marketing and customer care to investments and strategy.

Mr. Maciej Witucki (born in 1967) graduated from the Poznań Technical University specialising in logistics and decision support systems. He completed post-university studies in industrial systems management at the Ecole Centrale in Paris.

He began his professional career in Cetelem Bank (the Paribas Group), first in France, then in Poland. In 2001, he became a Management Board Member, and in 2005 the President of Lukas Bank (the Crédit Agricole Group). He has been the President of the Management Board of Telekomunikacja Polska SA since November 2006.

He is the Chairman of the Programming Board of the Polish Civic Forum, a member of the Board of Directors of the Atlantic Council of the United States, a member of the councils of several foundations (e.g., the Bronisław Geremek Center Foundation, the Foundation for the Development of Radiocommunications and Multimedia Technologies, and a member of the management board of PKPP Lewiatan). He also sits on the supervisory boards of AXA Polska S.A., AXA Życie TU S.A. and AXA TUiR and is the President of the Chamber of the French Commerce and Industry in Poland (CCIFP).

According to a statement submitted, Mr. Maciej Witucki is not engaged in any activities competitive to the business of TP S.A. and is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of any incorporated company or any other legal entity which would be competitive to TP S.A. Mr. Maciej Witucki is not listed in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act.
