CR#15-2014 Resignation of a managing person

Pursuant to art. 5, clause 1, item 21 of the Decree of the Minister of Finance of 19 February 2009 on current and periodic information disclosed by issuers of securities and the terms governing recognition of information required by the laws of a non-member state as equivalent information (Journal of Laws of 2009 no. 33, item 259, with amendments), the Management Board of Orange Polska S.A. (“Orange Polska”, “Group”) informs about resignation of its Management Board Member.


Internal succession at Orange Polska: Maciej Nowohoński proposed to take over duties from the CFO -  Jacques de Galzain


February 24, 2014: Having spent more than three years in the Management Board, and approaching the end of his term in office, Jacques de Galzain resigned from the position of Management Board Member in charge of finance – CFO, effective on February 28, 2014. As of March 3, 2014, his duties will be delegated on to Maciej Nowohoński, Group Controller since 2006. Orange Polska CEO, Bruno Duthoit, will propose for the Supervisory Board to appoint Maciej Nowohoński as Management Board Member. The Supervisory Board will decide on the proposed appointment on March 13, 2014.


Commenting on his decision, Jacques de Galzain said “I would like to thank the employees of Orange Polska for a fruitful co-operation during my years as CFO. We have risen to the challenges faced by Orange Polska, and following 2013 we are on a path to recovery. I am happy that our HR processes allow us to propose an internal succession at the CFO position, which proves that our organisation has matured a lot. While we are still before the decision of the Supervisory Board, I am confident that Maciej, who worked very closely with me for the last three years and knows the Company inside-out, once appointed, would do a very good job as CFO of Orange Polska.
