CR#65_2014 Expiration of the agreements with rating agencies

 

 

Pursuant to article 56 (1.1) of the Law of 29 July 2005 on public offering and the conditions for introducing financial instruments to the organised trading system and on public companies (Journal of Laws of 2005, No. 184, item 1539, as amended), the Management Board of Orange Polska S.A. (“Orange Polska”, “the Company”) hereby announces the expiration as from October 1, 2014 of its agreements with credit rating agencies Moody’s and Standard and Poor’s.   

 

Following such expiration, the rating agencies as from October 1, 2014 will no longer provide corporate ratings to Orange Polska and  debt rating with respect to the Euro Medium Term Note (EMTN) Programme, in which the issuer was  TPSA Eurofinance France S.A., a subsidiary of Orange Polska. It is to recall that all debt securities issued by TPSA Eurofinance France S.A. under the EMTN Programme were redeemed on May 22, 2014.

Orange Polska’s decision to discontinue the rating of the Company and/or its subsidiaries follows the switch towards intra-group financing, upon which Orange Polska has concluded financing agreements with the Orange Group. The intra-group funding arrangements and its rationale were reported by the Company in its Current Report 40/2014 on May 16, 2014 and 45/2013 on April 18, 2013.
