Pursuant to art. 5, clause 1, item 21 and 22 of the Decree of the Minister of Finance of 19 February 2009 on current and periodic information disclosed by issuers of securities and the terms governing recognition of information required by the laws of a non-member state as equivalent information (Journal of Laws of 2009 no. 33, item 259, with amendments), the Management Board of Orange Polska S.A. (“Orange Polska”, “Company”) informs about resignation and appointment of a managing person.

Jean-François Fallacher will replace Bruno Duthoit as Orange Polska CEO on 1 May

The Supervisory Board of Orange Polska, in view of the Company's President of the Management Board, Bruno Duthoit mandate expiring on 12 April 2016, has decided in its meeting today, 4 February 2016, to re-appoint Bruno Duthoit for the next term of office. At the same time Bruno Duthoit informed Orange Polska that he has decided to accept the Orange Group proposal to take as of 1 May 2016 the position of Deputy Orange Group Executive Director for Europe, responsible for Central Europe reporting directly to Gervais Pellissier, the Orange Group Deputy CEO & Orange Group Executive Director for Europe. Therefore, Bruno Duthoit resigned from the position of the Company’s CEO with effect from the end of the day of 30 April 2016. Subsequently on the same date, 4 February, the Supervisory Board of Orange Polska appointed Jean-François Fallacher as the President of the Management Board of Orange Polska effective as of 1 May 2016.

- During the last couple of years Orange Polska chaired by Bruno Duthoit has realized a number of actions of key significance for the company’s long-term development. Large-scale investments in FTTH internet have been launched and the company has acquired frequencies that will allow it to significantly expand availability of mobile LTE internet. Orange has initiated changes whose aim is digitization of the company and making it an organization that is capable of reacting to the changing market and customers’ expectations rapidly. Customers are in the center of all actions of the company so that it can respond to their needs even better. The scale of cost savings has increased significantly. The company has expanded its operations by new areas, launching Orange Finanse and Orange Energia offers. I thank Bruno Duthoit for his huge commitment and I wish him successes in meeting new challenges – said Maciej Witucki, chairman of the Supervisory Board of Orange Polska.

Biographical note of the newly appointed CEO of Orange Polska

Jean-François Fallacher (born 1967), has been CEO of Orange Romania since 2011, responsible for running Romania’s leading mobile telecommunications company. Orange Romania has more than 10 million customers - half of adult Romanians – and employs 3000 people.

Prior to Orange Romania, Jean-François served in key leadership roles within Orange Group for 20 years, most recently as the CEO of Sofrecom, the Group’s international consulting company, and in the Netherlands as COO of the internet provider Wanadoo and as Marketing manager B2B for EuroNet Internet.

Jean-François has an extensive professional know-how in the telecom market, on both business and residential sectors, gained in various European markets.

Holding a strong academic background with engineering degrees from École Polytechnique, École Nationale Supérieure des Télécommunications in Paris, completed by the International Business Development program at ESSEC Business School, Jean-François was formed in the early days of the www expansion.

According to a statement submitted, Mr. Jean-François Fallacher is not engaged in any activities competitive to the business of Orange Polska S.A. and is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of any incorporated company or any other legal entity which would be competitive to Orange Polska S.A. Mr. Jean-François Fallacher is not listed in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act.
