Pursuant to Article 5(4) of the Decree of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state, the Management Board of Orange Polska S.A. (“Orange Polska”, “the Company”) informs about resignation of supervising persons.

On March 22, 2019, the Company received resignations of two persons: Dr. Wiesław Rozłucki and Mr. Federico Colom Artola from their positions as Members of the Supervisory Board of Orange Polska S.A. Both with effect on the day of the Annual General Meeting approving financial statements for 2018.

Dr. Wiesław Rozłucki is leaving Orange Polska Supervisory Board after more than twelve years as he no longer has the status of its independent member. Mr. Federico Colom Artola will be assuming other duties within the Orange Group. 

Dr. Wiesław Rozłucki has been on the Supervisory Board of Orange Polska since November 9, 2006. He has served as an independent Member of the Supervisory Board and the Chairman of its Remuneration Committee. The Remuneration Committee is tasked with advising the Supervisory Board and Management Board on general remuneration policy within the Orange Polska Group and making recommendations on appointments to the Management Board, performance objectives, terms of remuneration and amounts of bonuses for Members of the Management Board. During his last seven years as the Chairman of the Committee, he supported the Company with his expertise and commitment and had an indisputable effect on the development of motivation and remuneration systems in Orange Polska. By exercising due diligence in linking these regulations to international standards and corporate governance rules adopted by the Warsaw Stock Exchange, Dr. Wiesław Rozłucki contributed to the reputational success of Orange Polska as one of the best employers both in the telecommunications industry and on the capital market in Poland.

Jean-François Fallacher, CEO and President of the Management Board of Orange Polska, Maciej Witucki, Chairman of the Supervisory Board, and other members of the Supervisory Board expressed their gratitude to Messrs. Wiesław Rozłucki and Federico Colom Artola for their tenure, wishing them more success and achievements.
