53/2010 Appointment of persons supervising TP S.A. - Orange Polska

Pursuant to art. 5, clause 1, item 22 of the Decree of the Minister of Finance of 19 February 2009 on current and periodic information disclosed by issuers of securities and the terms governing recognition of information required by the laws of a non-member state as equivalent information (Journal of Laws of 2009 no. 33, item 259, with amendments), the Management Board of Telekomunikacja Polska S.A. (“TP S.A.”) informs about appointment of persons supervising TP S.A.

On 23 April 2010, the Annual General Meeting of Shareholders appointed Mr. Thierry Bonhomme and Mr. Olaf Swantee to TP S.A. Supervisory Board, as well as, renewed mandates of the following persons, whose term of office expired as of the day of TP General Meeting of Shareholders: Mr. Jacques Champeaux, Mr. Roland Freeman and Mr. Mirosław Gronicki.


Thierry Bonhomme, age 53, who attended Polytechnique-Telecom has been in charge of France Telecom Group Research and Development since 2006. Prior to that, he held positions within the France Telecom Group as Director of Technical Operations for Paris Nord, Regional Director for Grenoble and then Marseilles, before becoming Director for the business market. He was also Director of IDATE from 1988 to 1990. The activities of Mr. Thierry Bonhomme outside of TP S.A. do not conflict with his functions at TP S.A.

Olaf Swantee, a 43-year old Dutch national, heads up France Telecom's global mobile business. This serves 128.8 million customers, and includes Orange branded operations in 31 countries. He also represents the group's Europe & Egypt region businesses on the France Telecom executive board. Before joining Orange-France Telecom, Olaf had 17 years experience in the IT industry in Europe and the United States, latterly serving as Hewlett-Packard's EMEA SVP for enterprise sales and software. Here he was part of the team that steered HP through industry consolidation and major organizational change to become the leading global IT company. Olaf began his career with Compaq in Germany as a Product Manager, joining the Digital Equipment Corporation as the Marketing Director of its European PC division, before moving to a role in the Digital’s CEO Office in Boston. Returning to Compaq in 1998 as Director Sales and Marketing for Switzerland, Olaf drove the DEC / Compaq merger in that country. From Hewlett-Packard’s acquisition of Compaq in 2002, Olaf held a series of senior international leadership roles in sales and marketing, rising to Managing Director for the General Western European region before his promotion to Senior Vice President Technology Solutions Group Sales and Software EMEA in 2005. Mr. Olaf Swantee holds a BA in Economics and received his European MBA from the EAP (Ecole Européenne des Affaires) in Paris in 1989. The activities of Mr. Olaf Swantee outside of TP S.A. do not conflict with his functions at TP S.A.

Jacques Champeaux
Member of TP S.A. Supervisory Board since 2004

Jacques Champeaux, age 62, was named Executive Vice President, Regulatory Affairs, in April 2004.
Prior to that appointment, he was Executive Vice-President, General Corporate Affairs, from January 2003 to March 2004. He had been Executive Vice-President, Large Business Division from 1996 to 2002 and chairman of the Supervisory Board of EQUANT from June 2001 to end 2002.
Mr. Champeaux held senior management positions in several of France Telecom's subsidiaries. From 1992 to 1995, he served as Chief Executive Officer of Cogecom (the holding company, at the time, for most of France Telecom's subsidiaries); from 1990 through 1991, he was Chief Executive Officer of Telecom Systèmes Mobiles; from 1987 through 1989, he was Chief Operating Officer of Transpac and from 1983 through 1987, Mr. Champeaux was Chief Executive Officer of the Compagnie Auxiliaire des Telecommunications (France Telecom's venture capital company). Mr. Champeaux joined France Telecom in 1971 and until 1983, worked at the CNET, the predecessor entity to France Telecom Research and Development, where he was successively in charge of research for electronic switching and then in charge of the networks and services division.
Mr. Champeaux is a graduate of the Ecole Polytechnique and the Ecole Nationale des Telecommunications.

The activities of Jacques Champeaux outside of TPSA do not conflict with his functions at TPSA.

Ronald Freeman
Member of TP S.A. Supervisory Board since 2007

Ronald Freeman, age 71, is a lawyer and an investment banker with a long professional experience in telecommunications and in the countries of New Europe.
He was a founding member of the senior management of the European Bank for Reconstruction and Development and served as head of the EBRD Banking Department from 1991 to 1997. In that role, he had extensive responsibilities, inter alia, for financing major public and private sector projects in Poland.
Prior to being voted by the EBRD’s sixty country shareholders to that position, Mr Freeman was a senior investment banker responsible for the European operations of Salomon Brothers, now a unit of Citigroup. While at Salomon, he was an advisor to the American telephone company, AT&T, where he assisted in the restructuring of that company into its present form.

Mr Freeman is currently a member of the board of directors of North American and European companies in the insurance, energy and banking industries, a member of the Executive Committee of the Atlantic Council, a trustee of the American University of Paris, vice-chairman of the International Advisory Committee of Columbia University School of Law and co-head of the Finance Committee of the UK/US Fulbright Commission.
Mr Freeman received a Certificate d’Etudes from the Universite de Grenoble in 1958, a BA from Lehigh University in 1960 and an L.L.B. from Columbia University School of Law in 1964. He was admitted as a Member of the New York State Bar in 1965.

The activities of Mr Ronald Freeman outside of TP S.A. do not conflict with his function at TP S.A.
